Terms of Service

1. The Service

OrbitEquip provides software for tracking tools and equipment, including inventory management, check-in and check-out, QR code labeling, and related features. We may add, change, or remove features over time.

2. Accounts

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use. You must be at least 18 years old to use the Service.

When you sign up, an organization is created for your account. You are responsible for the users you add to your organization and for their use of the Service.

3. Free Trial

We may offer a free trial of the Service. At the end of the trial period, you will need to select a paid plan to continue using paid features. We reserve the right to modify or discontinue the free trial at any time.

4. Subscriptions, Billing, and Payment

Paid plans are billed on a subscription basis (monthly or annually) as described on our pricing page. Payment is handled by a third-party payment processor; by subscribing, you also agree to the payment processor’s terms.

• Subscription fees are billed in advance and are non-refundable except as required by law or expressly stated by us.
• Your subscription will renew automatically at the end of each billing period unless you cancel before the renewal date.
• You can cancel at any time; cancellation takes effect at the end of the current billing period.
• We may change our prices; we will provide reasonable notice before any price change affects you.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems;
• Interfere with or disrupt the integrity or performance of the Service;
• Reverse engineer, copy, or resell the Service except as permitted by law;
• Upload malicious code or content that is unlawful, infringing, or harmful;
• Use the Service to store or transmit content that violates the rights of others.

We reserve the right to suspend or terminate accounts that violate these Terms.

6. Your Data

You retain ownership of the data you enter into the Service (“Your Data”). You grant us a limited license to store, process, and display Your Data solely to provide and improve the Service. You are responsible for the accuracy and legality of Your Data. Our handling of personal data is described in our Privacy Policy.

7. Intellectual Property

The Service, including its software, design, and content (excluding Your Data), is owned by OrbitEquip and protected by intellectual property laws. These Terms do not grant you any right to our trademarks, logos, or other brand features.

8. Availability and Changes

We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to notify you of significant changes.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, OrbitEquip shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenue, arising from or related to your use of the Service. Our total liability for any claim arising out of these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless OrbitEquip from any claims, damages, liabilities, and expenses arising from your use of the Service, Your Data, or your violation of these Terms.

12. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends, and we may delete Your Data in accordance with our data-retention practices.

13. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes shall be subject to the jurisdiction of the courts located in India, unless otherwise required by applicable law.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and update the “Last updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
